Acceptance of Terms & Contractual Scope

Welcome to Oribin. These Terms of Service ("Terms", "Agreement") constitute a legally binding contractual agreement between you ("User", "you", or "your") and Oribin Technologies ("Oribin", "we", "us", or "our"), governing your access to and use of the Oribin productivity ecosystem, including our web applications and workspace hub at oribin.in, APIs, and associated software tools.

By accessing, browsing, registering an account, or interacting with our services in any manner, you explicitly agree that you have read, understood, and accept to be legally bound by these Terms, together with our Privacy Policy, which is incorporated herein by reference.

User Eligibility, Account Registration & Security

To unlock the full functionality of the Oribin Workspace, you must establish an authorized user account on oribin.in.

1. Eligibility & Age Requirements

You represent and warrant that you are at least 18 years of age, or have attained the age of majority in your jurisdiction. Individuals aged 13 to 17 may only use Oribin under the direct supervision and verifiable consent of a parent or legal guardian who agrees to be bound by these Terms. Use of Oribin is strictly prohibited for individuals under the age of 13.

2. Account Credential Security

You are exclusively responsible for safeguarding your authentication credentials, passwords, and API security keys. We salt and hash passwords cryptographically using bcrypt; however, you bear full responsibility for all activities occurring under your account session.

• Accurate Information: You agree to provide accurate, current, and complete registration details and maintain their accuracy.
• No Account Sharing: Individual user seats and accounts may not be shared, pooled, or transferred between multiple individuals without an authorized enterprise workspace license.
• Immediate Notification: If you suspect any breach of security, credential compromise, or unauthorized entry, notify our help desk immediately at support@oribin.in.

Intellectual Property & Content Sovereignty

At Oribin, we believe software should empower human intellectual agency without capturing or exploiting user work.

1. Limited Operational License

You grant Oribin Technologies only a non-exclusive, worldwide, royalty-free, limited license strictly necessary to perform technical operations: hosting, syncing, creating redundant backups, rendering documents, and transmitting your content across your devices or to collaborators you explicitly designate. This operational license terminates automatically when you delete content or your account.

2. Zero Model Training on Private Content

Oribin does not scrape, inspect, or feed your private user content, workspace data, or correspondence into public artificial intelligence models, machine learning datasets, or third-party training pipelines without your explicit affirmative opt-in.

3. Oribin Intellectual Property

All Oribin software architectures, user interface designs, vector trademarks (including our 5-segment brand logo), design tokens, algorithms, domain names (oribin.in), and documentation are the exclusive property of Oribin Technologies and protected under domestic and international copyright and trademark laws. You may not copy, decompile, reverse-engineer, or white-label any portion of our platform without prior written authorization.

Acceptable Use & Prohibited Conduct

To ensure the stability, security, and integrity of the Oribin ecosystem, all users must abide by standard ethical guidelines. You agree not to engage in or facilitate any of the following prohibited behaviors:

Workspace Storage, Quotas & Data Portability

Oribin provides secure cloud storage and infrastructure for your workspace files, data assets, and collaborative projects.

• Storage Quotas: Accounts are subject to the storage allocations corresponding to their tier. Attempting to artificially bypass or exploit quota limits may trigger temporary upload suspension.
• Data Portability: We strictly oppose vendor lock-in. You have the perpetual right to export all documents, tables, and files in industry-standard formats (including Markdown, JSON, CSV, PDF, and OpenDocument formats) at any time.
• Backup Redundancy: While Oribin maintains continuous multi-region automated replication for disaster recovery, we encourage users to maintain secondary local backups of critical files.

Security & Responsible Disclosure (Safe Harbor)

Security is fundamental to our architecture. All web traffic and API endpoints strictly mandate TLS 1.3 encryption in transit with HTTP Strict Transport Security (HSTS).

Service Availability, Performance & Upgrades

We strive to provide continuous, blazing-fast availability through our modern edge network and local-first architecture.

• Continuous Upgrades: Oribin regularly deploys performance optimizations, security patches, and functional improvements without necessitating manual client software installations.
• Maintenance Windows: While most platform updates execute with zero downtime, occasional maintenance may require temporary service disruptions. We will notify users in advance for any scheduled maintenance.
• No Uptime Warranty for Free Tiers: For free, beta, or preview access tiers, services are provided on a best-effort basis without express uptime guarantees.

Tiers, Pre-Orders & Early Access Terms

During our current pre-launch and early access phase, users may register their interest and secure early accounts on oribin.in.

• Transparent Pricing: When premium tiers are introduced, all fees, recurring subscription periods, and payment schedules will be presented clearly with zero hidden recurring charges.
• Taxes: All applicable taxes (such as GST in India or regional value-added taxes) will be itemized clearly in accordance with statutory requirements.
• Cancellation: You may cancel paid subscriptions at any time through your workspace account settings or by contacting support@oribin.in. Cancellation will take effect at the conclusion of the active billing cycle.

Suspension, Deactivation & Account Termination

You maintain absolute autonomy over your Oribin presence. You may permanently delete your account, purge active sessions, and destroy stored files at any time by dispatching an account deletion request to support@oribin.in.

Oribin reserves the right to suspend, throttle, or terminate account access if:

• You materially breach any provision of these Terms or the Acceptable Use Policy.
• We are compelled to do so by a binding court order, legal mandate, or government authority under applicable law.
• Your account exhibits signs of active compromise, severe spam dispatch, or infrastructure abuse.

Except in emergencies involving immediate security harm or legal prohibitions, Oribin will provide reasonable advance notice and a 14-day export window allowing you to retrieve your personal content prior to permanent purging.

Disclaimers & Limitation of Liability

Please read this section carefully as it limits the legal liability of Oribin Technologies.

Warranty Disclaimer: Oribin services, software, and content are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permissible by applicable law, Oribin expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability: Under no circumstances shall Oribin Technologies, its founders, officers, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, loss of data, loss of business goodwill, or cost of substitute procurement—arising out of or related to your use of or inability to use the services.

In any event, Oribin's aggregate cumulative liability under this Agreement shall not exceed the greater of: (a) the total fees paid by you to Oribin during the twelve (12) months immediately preceding the event giving rise to liability, or (b) ₹1,000 INR (or $50 USD for international users).

Governing Law, Jurisdiction & Dispute Resolution

These Terms, your relationship with Oribin Technologies, and any claims or disputes arising hereunder shall be governed by and construed in accordance with the substantive laws of the Republic of India, without regard to its conflict of law principles.

1. Mandatory Informal Negotiation

Before initiating formal legal proceedings, both you and Oribin agree to attempt to resolve any dispute, controversy, or claim amicably by providing written notice to legal@oribin.in. The parties shall engage in good-faith informal negotiations for a minimum of thirty (30) calendar days.

2. Binding Arbitration

If the dispute cannot be settled through informal negotiation within 30 days, it shall be resolved exclusively through final and binding arbitration administered in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration proceedings shall be conducted in the English language, and the arbitral award shall be final, non-appealable, and enforceable in any court of competent jurisdiction.
